Mentor Agreement

This Mentor Agreement (“Agreement”) governs your participation as a mentor on the SabiMentors platform. By activating your mentor profile, you agree to these terms.

Sabimentors Technologies Ltd (“Company,” “we,” “us”) and you (“Mentor,” “you”) are parties to this Agreement.

This Agreement is in addition to our Terms of Service and Privacy Policy, which continue to apply to your use of the platform.

As a mentor, you agree to:

• Provide accurate and complete information about your qualifications and offerings
• Deliver content that is original, accurate, and properly licensed
• Respond to student inquiries in a timely and professional manner
• Maintain high-quality content that is not misleading, defamatory, or discriminatory
• Comply with all applicable laws and regulations
• Not solicit students off-platform to avoid transaction fees
• Keep your product listings, curriculum, and pricing up to date

All content submitted to the platform must pass moderation before publication. We reserve the right to reject, remove, or request modifications to any content that:

• Violates our Terms of Service
• Infringes on third-party intellectual property rights
• Contains false, misleading, or deceptive claims
• Includes hate speech, harassment, or discriminatory material
• Promotes illegal activities or harmful practices
• Is of low production quality or contains broken links/materials

Mentors set the list price for their products. The following applies to all sales:

• Commissions are calculated as a percentage of the net sale price (after discounts, taxes, and payment processing fees)
• We may update commission rates at any time. Material changes will be communicated via email or platform notification at least 14 days in advance
• Commission rates in effect at the time of sale apply to that transaction
• Continued participation after rate changes take effect constitutes acceptance of the new rates

To drive sales and engagement, SabiMentors may at its discretion:

• Run discount promotions, coupon campaigns, and flash sales on products
• Apply platform-funded discounts to reduce the price paid by students
• Feature selected products in marketing campaigns and email newsletters
• Bundle products with other offerings for promotional periods

Commissions on promoted sales are calculated on the discounted price unless otherwise stated. Mentors agree to honour all discounted pricing during active promotions.

SabiMentors reserves the right to modify product page layouts, descriptions, thumbnails, metadata, and presentation for quality assurance and platform consistency. This includes:

• Updating formatting and styling to match platform design standards
• Correcting spelling, grammar, or factual errors
• Optimising titles and descriptions for search and discoverability
• Adjusting thumbnail images for visual consistency across the marketplace

Material changes to your content will not be made without your prior approval.

• Earnings are credited to your wallet after each completed sale
• A 7-day clearing period applies to account for refunds and chargebacks
• Payouts can be requested from your wallet once the minimum threshold is met
• Chargebacks and refunded orders will be deducted from your available balance or future earnings
• We reserve the right to adjust payouts for fraudulent or invalid transactions

Your Content: You retain full ownership of the content you create and publish. By publishing on the platform, you grant SabiMentors a non-exclusive, worldwide, royalty-free licence to host, display, distribute, and promote your content for the purpose of providing and marketing our services.

Platform IP: The SabiMentors name, logo, brand assets, platform design, and technology are owned by Sabimentors Technologies Ltd. You may not use them without prior written permission.

Either party may terminate this Agreement at any time by providing written notice. Additionally, SabiMentors may immediately suspend or terminate your mentor account if you:

• Violate any term of this Agreement or our Terms of Service
• Engage in fraudulent, abusive, or illegal activity
• Submit content that fails moderation standards
• Receive repeated chargebacks or refund claims

Upon termination, your products will be removed from the marketplace. Earnings accrued before termination will be paid out in accordance with our standard payout schedule, subject to any pending refunds or chargebacks.

The platform is provided “as is.” We make no guarantees regarding:

• Specific sales volumes or revenue targets
• Uninterrupted or error-free platform operation
• The success or popularity of your content

To the maximum extent permitted by law, our total liability under this Agreement is limited to the amount of unpaid commissions owed to you at the time of the claim.

This Agreement is governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved through amicable negotiation first, and finally by the courts of Lagos State, Nigeria.
